Terms of Service

Version 1.0 · Effective Date: 31 July 2026

Note: This English version is provided for convenience. The authoritative legal version is the Greek version. In case of any conflict between the Greek and English versions, the Greek version shall prevail.

1. Introduction and Acceptance

This Terms of Service Agreement ("Agreement") governs your use of the e-emporion platform ("Platform" or "Service"), provided by Ionian Logic OÜ (Registration No: 17564698), a company incorporated in the Republic of Estonia ("e-emporion", "we", "us").

By registering for, accessing, or using the Service, you unconditionally accept these Terms. If you do not agree, you may not use the Service.

The Service is intended exclusively for business professionals and entities (B2B) and does not constitute a consumer service.

2. Definitions

  • "Merchant" or "Subscriber": any legal or natural person registering for the Platform for professional use.
  • "Platform": the entirety of e-emporion software, infrastructure and services.
  • "Store": the Merchant's online store created through the Platform.
  • "Merchant Data": all information, content and data uploaded or created by the Merchant via the Service.
  • "End User": any person visiting or purchasing from the Merchant's Store.
  • "AADE Credentials": the myDATA username and subscription key provided by the Merchant for integration with the AADE myDATA platform.

3. Services Provided

e-emporion provides the Merchant with technology infrastructure for:

  • Creation and operation of an online store with custom domain
  • Automated submission of tax documents (retail receipts, service receipts, invoices, credit notes) to the AADE myDATA platform
  • Payment processing via IRIS and Viva Wallet
  • Order, product and inventory management
  • AI-powered content creation tools

4. Merchant Responsibilities — Tax Compliance

e-emporion provides technology infrastructure for data transmission to the myDATA platform. The Merchant remains the sole legal issuer of every tax document and bears full tax and legal responsibility for:

  • The accuracy of all data submitted to the Platform (prices, VAT categories, product descriptions)
  • Maintaining valid and active AADE Credentials
  • Correct configuration of invoice numbering, including declaration of continuation numbers from previous systems
  • All tax, accounting and legal obligations arising from Store transactions
  • Compliance with the applicable tax framework (myDATA, VAT, income tax)

e-emporion does NOT provide tax, accounting or legal advice. Merchants should consult their accountant or legal advisor for all such matters.

5. Operator Access (Impersonation)

e-emporion may access the Merchant's Store for purposes of technical support, debugging and operational monitoring ("Operator Access"). Such access:

  • Is activated only by authorised e-emporion personnel
  • Displays a visible indicator (amber banner) to the Merchant during each access session
  • Is fully logged in the access log visible to the Merchant
  • Is used exclusively for technical support purposes and not for commercial purposes

By accepting these Terms, the Merchant expressly consents to the above Operator Access under the above conditions.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • e-emporion shall not be liable for indirect, incidental, special or consequential damages.
  • e-emporion's total liability shall not exceed the total fees paid by the Merchant to e-emporion during the twelve (12) months preceding the event giving rise to liability.
  • e-emporion shall not be liable for fines, penalties or third-party claims related to the Merchant's tax non-compliance.
  • e-emporion shall not be liable for interruptions to AADE myDATA, Viva Wallet, IRIS or other third-party services.

7. Fees and Payment

Pricing is governed by the current fee schedule published at e-emporion.eu. Subscriptions auto-renew unless cancelled before the renewal date. No refunds for unused subscription periods.

8. Term and Termination

This Agreement is effective from Merchant registration and continues until terminated. Either party may terminate. Upon termination, Merchant data export is available for 30 days, after which data is permanently deleted.

9. Intellectual Property

The Platform and all e-emporion software, designs, trademarks and content are the exclusive property of Ionian Logic OÜ. The Merchant retains all rights to Merchant Data. By using the Service, the Merchant grants e-emporion a non-exclusive licence to use Merchant Data solely for the purpose of providing the Service.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Republic of Estonia, without prejudice to any mandatory consumer protection provisions applicable in the Merchant's country of establishment under European law (Rome I Regulation). Disputes shall be submitted to the exclusive jurisdiction of the competent courts of Tallinn, Estonia.

11. Amendments

e-emporion reserves the right to modify these Terms with at least 30 days' notice by email for material changes. Continued use of the Service constitutes acceptance of the updated Terms.

12. General Provisions

  • If any provision of these Terms is held invalid, the remaining provisions remain in force.
  • This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.
  • Failure to exercise a right does not constitute a waiver of that right.
  • The Merchant may not assign their rights without the written consent of e-emporion.
